Agreement to Terms
These Terms of Service ("Terms") govern your access to and use of the PERSEVRO website and services. By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our services.
Services Overview
PERSEVRO provides strategic technology consulting, architecture design, software development, and related professional services ("Services") to qualified business clients. Our Services are provided on a project basis with fixed-scope engagements as outlined in individual Statements of Work.
Eligibility and Account
To engage our Services, you must:
- Be at least 18 years of age
- Have the authority to enter into binding contracts on behalf of your organization
- Provide accurate and complete information about yourself and your organization
- Maintain the security and confidentiality of your account credentials
Engagement Process
Application and Assessment
Submitting an application to work with PERSEVRO does not constitute a binding agreement. We review each application to assess project fit, scope, and alignment. We reserve the right to decline any engagement at our discretion.
Statement of Work
If we determine there is mutual fit, we will provide a Statement of Work ("SOW") outlining:
- Project scope and deliverables
- Timeline and milestones
- Pricing and payment terms
- Acceptance criteria
- Responsibilities of both parties
The engagement becomes binding only upon execution of the SOW by both parties.
Fees and Payment
Pricing Structure
Our Services are priced on a fixed-scope, value-based model as specified in each SOW. Pricing is determined by project complexity, timeline, and deliverables—not hourly rates.
Payment Terms
- Payment schedules are outlined in the SOW, typically structured around milestones
- Invoices are due within 15 days of issuance unless otherwise specified
- Late payments may incur a 1.5% monthly interest charge
- We may suspend work if payment is more than 30 days overdue
Scope Changes
Changes to project scope must be documented in a written change order. Additional fees may apply for out-of-scope work. We will provide estimates and obtain approval before proceeding with scope changes.
Client Responsibilities
To ensure successful project delivery, clients must:
- Provide timely access to necessary systems, data, and personnel
- Designate a primary point of contact with decision-making authority
- Provide feedback and approvals within agreed timeframes
- Maintain confidentiality of proprietary processes and methodologies
- Ensure accuracy of information and requirements provided
Intellectual Property
Client Deliverables
Upon full payment, ownership of custom code, documentation, and deliverables created specifically for your project ("Deliverables") transfers to you. This excludes our proprietary methodologies, frameworks, and pre-existing intellectual property.
PERSEVRO Property
We retain all rights to:
- Our proprietary processes, methodologies, and frameworks (including Faztor)
- Pre-existing code libraries and tools
- General knowledge and skills gained during the engagement
- The right to use anonymized project experience as portfolio examples
Third-Party Components
Open-source and third-party components remain subject to their respective licenses. We will identify any such components and their licenses in project documentation.
Confidentiality
Both parties agree to maintain confidentiality of all proprietary information exchanged during the engagement. This obligation survives termination of the engagement. Exceptions include:
- Information that becomes publicly available through no fault of the receiving party
- Information independently developed without use of confidential information
- Disclosure required by law or court order (with advance notice when possible)
Warranties and Disclaimers
Our Warranties
We warrant that:
- Services will be performed in a professional and workmanlike manner
- Deliverables will substantially conform to specifications in the SOW
- We have the right to provide the Services and Deliverables
Disclaimer
EXCEPT AS EXPRESSLY PROVIDED IN THE SOW, SERVICES AND DELIVERABLES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- PERSEVRO's total liability for any claim arising from or related to the Services shall not exceed the total fees paid by Client for the specific engagement giving rise to the claim
- PERSEVRO shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities
- These limitations apply regardless of the legal theory of liability
Termination
Termination for Convenience
Either party may terminate an engagement with 30 days' written notice. Client remains responsible for payment of work completed through the termination date, plus reasonable wind-down costs.
Termination for Cause
Either party may terminate immediately if the other party materially breaches these Terms or the SOW and fails to cure within 15 days of written notice.
Effect of Termination
Upon termination, we will deliver all completed Deliverables upon receipt of payment for work performed. Confidentiality obligations survive termination.
Indemnification
Each party agrees to indemnify and hold harmless the other party from claims arising from: (a) breach of these Terms, (b) negligence or willful misconduct, or (c) infringement of third-party intellectual property rights resulting from materials provided by the indemnifying party.
Dispute Resolution
In the event of a dispute:
- Parties will first attempt to resolve through good-faith negotiation
- If unresolved within 30 days, parties agree to mediation before pursuing litigation
- Any litigation shall be conducted in [YOUR JURISDICTION]
- The prevailing party may recover reasonable attorney's fees
General Provisions
Entire Agreement
These Terms, together with the executed SOW, constitute the entire agreement between the parties and supersede all prior communications.
Amendments
We may update these Terms from time to time. Material changes will be communicated via email to active clients. Continued use of Services constitutes acceptance of updated Terms.
Assignment
Neither party may assign these Terms without written consent of the other, except in the case of a merger or acquisition.
Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.
Force Majeure
Neither party shall be liable for failure to perform due to circumstances beyond reasonable control, including natural disasters, war, terrorism, labor disputes, or government actions.
